S&P Global Expands Onchain Risk Business With OpenZeppelin Acquisition

S&P Global will acquire OpenZeppelin, expanding its risk assessments into smart contracts and onchain infrastructure. According to S&P Global, the acquisition will support security assessments, benchmarks, and intelligence products for institutions entering tokenized markets. OpenZeppelin provides smart contract audits, secure development services, and open-source software for blockchain applications.


Its contract libraries have supported more than $37 trillion in transferred value across stablecoins, tokenized funds, and decentralized finance platforms. Additionally, OpenZeppelin has completed over 900 security engagements for major protocols, institutions, and digital asset businesses.


Those credentials give S&P Global expertise as capital markets adopt blockchain products and settlement systems. Yann Le Pallec, president of S&P Global Ratings, linked the acquisition to the company’s digital asset strategy.

S&P Global Targets Technology Risks Behind Tokenized Markets

Le Pallec explained that S&P Global seeks trusted data, transparent risk assessments, and benchmarks as markets move onchain. Moreover, OpenZeppelin’s technology will strengthen the company’s ability to evaluate smart contract risks and other security concerns.


The combined capabilities could serve institutions and DeFi companies seeking confidence when building or conducting transactions onchain. Significantly, the acquisition connects financial risk analysis with technical security reviews required for blockchain-based products.


OpenZeppelin chief executive Demian Brener noted that the company’s tools already protect infrastructure supporting onchain markets. Joining S&P Global will introduce those capabilities to more organizations exploring blockchain-based financial services.


OpenZeppelin Retains Its Brand and Leadership

However, OpenZeppelin will retain its name and operate as a separate business unit following the acquisition. Brener will remain chief executive and report to Le Pallec, preserving leadership continuity throughout the integration.


Both companies have not disclosed the transaction’s financial terms, while completion remains subject to customary closing conditions. S&P Global does not expect the purchase to materially affect its financial results.


Jefferies advised S&P Global on financial matters, while Clifford Chance provided legal counsel. Meanwhile, FT Partners advised OpenZeppelin, with Cooley providing legal counsel.


Ultimately, the agreement gives S&P Global access to technology supporting leading products across blockchain markets. OpenZeppelin also gains broader institutional reach as financial companies increase their involvement with tokenized assets and onchain services.
