Eliza Labs founder Shaw Walters has declared the ElizaOS token dead, confirming that the project’s foundation is winding down following a legal settlement. According to Walters in a post on X, future development will focus entirely on the open-source ElizaOS AI agent framework instead of cryptocurrency.
According to Walters, the decision followed a settlement with a group of token holders after Burwick Law sued the project. He explained that Eliza Labs lacked the financial resources to challenge the case in court. Consequently, the team transferred its remaining treasury and available funds to resolve the dispute.
Burwick Law filed the proposed class action lawsuit in April in the U.S. District Court for the Southern District of New York. The complaint accused Walters, Eliza Labs, and related entities of false advertising and deceptive business practices. Additionally, it alleged negligent misrepresentation and unjust enrichment.
According to the complaint, the project promoted itself as an autonomous AI-managed venture fund. However, plaintiffs argued that Walters and other insiders controlled the project. They also claimed investors suffered dilution during the migration from the ai16z token to ElizaOS following branding concerns.

Legal Dispute Ends ElizaOS Token Chapter
Walters maintained that the lawsuit’s claims lacked merit but acknowledged the project could not afford a lengthy legal battle, making the settlement the only practical option despite his disagreement with the allegations.
According to Walters on X, the ElizaOS token will receive no additional support from the foundation. He stated there would be no buybacks, supply adjustments, or other measures aimed at supporting the token. Moreover, he confirmed he has no intention of launching another token linked to ElizaOS.
Instead, Walters plans to rebuild around the ElizaOS intellectual property while separating future development from cryptocurrency. He added that he never wants another token connected to the project again. Furthermore, he described speculation and constant complaints within crypto communities as obstacles to long-term software development.
ElizaOS Keeps Focus on Open-Source AI
Walters also reaffirmed his commitment to open-source AI agents. According to his statement, the team will remain focused on developing technology that expands AI agent capabilities rather than supporting a digital asset. He added that the project’s long-term objective remains building software instead of maintaining a token ecosystem.
The project launched on Solana in October 2024 under the ai16z name, introducing an AI-managed decentralized autonomous organization that aimed to automate venture investment decisions. Later, the team rebranded the project as ElizaOS in January 2025 after concerns emerged over the original branding.
Since the rebrand, ElizaOS has concentrated on building an open-source framework for creating, deploying, and managing AI agents. That direction will remain unchanged even as the foundation winds down and token-related activities come to an end.
The announcement closes the cryptocurrency chapter for ElizaOS while preserving its software development efforts. Walters indicated that future work will concentrate exclusively on advancing the open-source AI agent framework.
