Grayscale has advanced its Zcash ETF proposal by filing a fifth amended registration statement with the U.S. Securities and Exchange Commission. The filing strengthens its plan to convert the existing Zcash Trust into an exchange-traded fund tracking ZEC.
The proposed product would trade on NYSE Arca under the ticker ZCH and provide investors with direct exposure to Zcash. If regulators approve the conversion, ZCH would become the first U.S. spot ETF dedicated specifically to the privacy-focused cryptocurrency.
Grayscale also plans to rename its existing investment vehicle, the Zcash ETF, under the proposed structure. Additionally, the company established an annual sponsor fee of 2.5% for the planned fund.
Bank of New York Mellon would serve as transfer agent, while Coinbase Custody Trust Company would handle the fund’s cryptocurrency custody arrangements. These appointments provide greater clarity around the operational framework Grayscale intends to establish before a potential launch.
According to Bloomberg Intelligence ETF analyst James Seyffart, Grayscale appears to be closer to converting the existing trust into an ETF. Seyffart shared the assessment on X while commenting on the company’s fifth amended filing.

Grayscale Details ZCH Structure as Conversion Plan Develops
Grayscale intends to issue shares continuously while registering an unspecified number of shares under the proposed ETF structure. Share prices would reflect several factors, including ZEC’s market value and ZCH’s trading price on NYSE Arca.
Consequently, investors could access Zcash through traditional brokerage accounts without directly purchasing or managing the cryptocurrency themselves. Grayscale would also build the ETF around an investment vehicle that has operated since 2017.
The Zcash Trust held more than $260 million in assets under management as of Friday. Moreover, an earlier amendment revealed that a Digital Currency Group subsidiary was discussing contributing approximately 200,000 ZEC to the fund.
Grayscale already operates cryptocurrency ETFs connected to Bitcoin, Ethereum, Dogecoin, and XRP. However, ZCH would extend its product lineup into the privacy-focused cryptocurrency market.
Zcash launched in 2016 with privacy features forming a central part of its blockchain design. SEC approval would give ZEC its first dedicated spot ETF structure within the United States.
Grayscale still requires regulatory approval before completing the proposed trust conversion. Approval would establish another regulated investment route for investors seeking ZEC exposure through traditional financial markets.
